A US C-Corporation, set up to raise and grow

A C-Corporation issues shares, pays corporate tax on its profits and is the structure most US investors expect. We prepare and file your incorporation and the documents that follow.

  • Issues shares to owners
  • Delaware or any other state
C-Corp or LLC?

When a corporation makes more sense

A C-Corporation is taxed separately from its owners. It files Form 1120 and pays federal corporate income tax on its profits, currently at a flat 21%. Shareholders are taxed again on dividends they receive.

Founders usually choose a C-Corp when they plan to raise venture capital, issue stock options or bring in many shareholders. For a small online business, an LLC is often simpler.
